About The Role:

As General Counsel you will serve as the primary legal advisor to the company, ensuring that our operations, partnerships, and growth strategies are compliant, legally sound, and strategically aligned with the ever-evolving regulatory landscape, especially in the fields of AI, blockchain, and decentralized technologies. You will be responsible for providing practical, business-focused legal advice to our executive team and overseeing all aspects of legal risk, corporate governance, and regulatory matters.

Key Responsibilities:

Corporate Governance & Compliance:

• Provide strategic legal advice and support on corporate governance, ensuring that we operate in compliance with applicable laws, regulations, and industry best practices.
• Develop, implement, and monitor compliance programs and internal policies to maintain legal standards across operations.

Regulatory Strategy & Risk Management:

• Navigate the regulatory landscape for AI, blockchain, and token-based models, particularly focusing on securities law, IP law, data privacy, and DeFi regulations.
• Mitigate legal risks by establishing frameworks for risk management and working closely with the executive team on strategic decisions.
• Work with regulators and outside counsel as necessary to stay ahead of new developments in blockchain and AI regulation.

Contracts & Transactions:

• Draft, review, and negotiate key agreements, including investment contracts, partnership agreements, licensing deals, and vendor contracts.
• Provide legal oversight for complex commercial transactions, including data center partnerships, software licensing, and DeFi integrations.

Fundraising & Investor Relations:

• Support fundraising initiatives, including reviewing and advising on term sheets, investor agreements, and securities offerings.
• Assist the executive team in managing relationships with investors, ensuring compliance with securities laws related to token offerings and investments.

Token Launch Support:

• Ensure all aspects of the token launch are legally compliant, including securities, tax, and anti-money laundering (AML) considerations.
• Guide the team through the regulatory nuances of tokenomics, DeFi protocols, and cross-border operations.

IP & Data Privacy Protection:

• Oversee intellectual property strategy, including patents, trademarks, and copyright protection related to our AI innovations and software.
• Manage data privacy matters, ensuring the company complies with global data protection laws like GDPR and CCPA.

Dispute Resolution & Litigation:

• Manage any litigation, arbitration, or mediation involving Hyperbolic, working with external counsel as needed.
• Proactively mitigate potential disputes by implementing sound risk management practices.

Have 7+ years of experience as a corporate attorney, preferably with a focus on tech, blockchain, or AI industries.

Experience guiding a company through a token generation event (TGE).

Familiarity with DeFi protocols and blockchain infrastructure.

Experience navigating the regulatory landscape for AI, blockchain, and token-based models, particularly focusing on securities law, IP law, data privacy, and DeFi regulations.
